These Program Terms and Conditions (“Referral Terms”) apply to Exploring Infinities Edtech Private Limited (“Bhanzu” or “Company”) Refer & Earn (“Program”). By referring a potential customer or otherwise participating in the Program, the referral customer (“Referrer”) and the referred party who has engaged with Bhanzu due to the Referrer (“Referee”), agrees to be bound by these terms and conditions.

Bhanzu has created this Program to reward its customers for referring new customers, and to encourage their friends / family / acquaintances to enrol on Bhanzu.

The Program is available online through the ‘Bhanzu Parent App’ ("App").

Acceptance of The Terms

Participation in our Program is subject to the following terms and conditions (“Referral Terms''). Please take the time to read the Referral Terms. By participating in the Program, the Referrer and Referee acknowledge that they have read, understood, and agree to be legally bound by the terms and conditions of these Referral Terms along with Bhanzu’s Terms and Conditions, Privacy Policy and any other terms and conditions updated on our different platforms or communicated to the Referrer from time to time (collectively referred to as the “Terms”). If the Referrer does not agree to all the Terms herein, including the Referral Terms, the Referrer shall be precluded from participating or otherwise submitting any information through the Program or participate in any manner. Referrers may not participate in the Program where doing so would be prohibited by any applicable law or regulations.

We reserve the right to modify or amend, the Terms and/or the Referral Terms at any time  and/or the methods through which rewards are earned. We reserve the right to disqualify any Referrers from participation in the Program at any time at our sole discretion, including without limitation if he/she/they does not comply with any of the Terms or otherwise fails to comply with any applicable laws.

Program Eligibility & Participation

Eligibility:

Participation in the Program is voluntary, and all customers enrolled with Bhanzu are eligible to participate in the Program, subject to the following conditions:

• In order to be eligible to participate in the Program, the Referrer must be at least 18 (eighteen) years of age.
• The Referrer and the Referee must be residents of the Republic of India or the United Arab Emirates.

How to participate:

• Once registered with Bhanzu, the Referrer will have the option to generate a referral code within their account on the App or as otherwise communicated to the Referrer by Bhanzu in writing (emails permitted) (“Referral Code”) and an accompanying unique link generated on the App (“Referral Link”).
• The Referrer may refer friends or family by sending them the Referral Code and Referral Link generated via the App, through email or any other mode of communication.

Qualified Referrals:

• In order for the referral by the Referrer of the Referee to qualify as a ‘Qualified Referral’, the following conditions are required to be met:

1. The Referee is (a) at least 18 years old and (b) is a legal resident of the Republic of India or the United Arab Emirates;
2. The Referee has not previously made a purchase or enrolled in any course offered by Bhanzu under any alternate email address, mobile number, or alias; and
3. The Referee enrols with Bhanzu, using the Referral Code and Referral Link.

• A ‘Qualified Referral’ does NOT include the following:

1. Self-Referrals shall not be deemed as a Qualified Referral and Referral Rewards are not valid or payable for self-Referrals. Bhanzu, in its sole discretion, will determine the classification of any referral as a “Self-Referral”.
2. Referrals made to any existing customers on the App shall not be deemed as a Qualified Referrals; only a new user enrolling with us using the Referrer’s Referral Code and Referral Link shall be considered as a Qualified Referral.
3. No referral by the Referrer shall be considered as a Qualified Referral, if Bhanzu suspects any fraudulent activity by the Referrer to increase their Qualified Referrals, including without limitation, the use of any software that generates real and fictitious information, multiple accounts from the same users referred by the Referrer, or any activity that does not comply with the Referral Terms and/or the Terms. In all such instances, Bhanzu reserves the right to suspend and/or terminate the Referrer’s enrolment and access to the classes at its sole discretion.

• All Qualified Referrals are subject to review and verification by Bhanzu. Bhanzu reserves the right to delay any or all Referral Reward(s) for the purposes of investigation. Bhanzu also reserves the right to refuse to verify and process any transaction that Bhanzu deems, in its sole and absolute discretion, to be fraudulent, suspicious, in violation of the Terms, or believes will impose potential liability on Bhanzu, its subsidiaries, affiliates or any of their respective officers, directors, employees, representatives and agents. All of Bhanzu’s decisions are final and binding, including decisions as to whether a Qualified Referral, or Referral Reward is verified.

Terms & Conditions for Referral Code & Referral Link

• Referral Code(s) and Referral Link(s) are unique to each Referrer, and only when the Referee seeks to enrol through the Referral Code and Referral Link, will he/she/they be considered as a Qualified Referral. In the event the person referred by the Referrer has failed to complete the enrolment process with Bhanzu by utilising the  Referral Code and Referral Link, then such person shall not be treated as a Qualified Referral, and the Referrer shall not be eligible to receive any Referral Rewards (defined below) in respect of that person. Similarly, any failure on the Referrer’s part to display or share the correct Referral Code and Referral Link shall not be the responsibility of Bhanzu.

• Each Referee can only be referred by one Referrer. In the event of multiple referrals, the first Referral Code and Referral Link to be submitted and mapped at the time of completion of enrolment will be acknowledged by Bhanzu.
• Bhanzu reserves the right, under its sole discretion, to reject any Referee. In no event shall Bhanzu be obligated to engage with any Referee, and any engagement will be at Bhanzu’s sole discretion. In addition, Bhanzu reserves the right, in its sole and absolute discretion, to void, cancel, suspend or withhold any Referral Rewards, and shall be entitled to receive a refunds and deduct such refund from any payments due to the Referrer or Referee, in the event that Bhanzu deems, under its sole discretion, that the Referrer is not eligible to such Referral Reward under this Program and Terms, including, without limitation, due to a breach or noncompliance with these Terms, applicable law, a fraudulent act or omission, or any misuse of this Program or Bhanzu Terms and Conditions.

Terms of Participation

The Referrers agree not to use the Program to:

• Violate any applicable law;
• Engage in any acts or conduct that result in the infringement of the intellectual property rights of Bhanzu or any third parties;
• Stalk, harass, or harm another individual;
• Collect or store personal data about other Referrers or the Referees;
• Interfere with, disrupt or otherwise compromise or violate the Terms or servers or networks connected to the Program; or disobey any requirements, procedures, policies, or regulations of such networks;
• Interfere with another Referrer's use of the Program;
• Attempt to gain unauthorized access to the Program, other accounts, computer systems, or networks connected to the Program;
• Transmit any file that contains viruses, worms, trojan horses, or any other contaminating or destructive features;
• Conduct any illegal activity or solicit the performance of any illegal activity or other activity that infringes the rights of others;
• Resell, barter, trade, auction or otherwise generate income by providing access to the Program to others.

The Referrer further agrees that:

• If a Referrer provides a personal link to https://www.bhanzu.com/ by email or other forms of correspondence, the correspondence must be created and distributed in a personal manner that is appropriate and customary for communications with friends, colleagues and family members.
• Bulk referrals, distribution to strangers, or any other promotion of a Program in a manner that would constitute or appear to constitute unsolicited commercial correspondence or "spam" (as determined by Bhanzu, in its sole and absolute discretion) is expressly prohibited and may be grounds for immediate termination of the Referrer's participation in the Program. Bhanzu observes and enforces a strict no-tolerance spam policy.
•  Bhanzu has no obligation to monitor the content provided by Referrers; however, Bhanzu reserves the right to undertake such monitoring and block any email messages, remove any such content, or prohibit any use of the Program.
• Bhanzu reserves the right to prohibit a Referrer from participating in the Program or receiving Referral Reward(s), in Bhanzu’s sole discretion, if Bhanzu determines that such Referrer is attempting to undermine the fairness, integrity or legitimate operation of the Program in any way by cheating, hacking, deception, or any other unfair practices of intending to annoy, abuse, threaten or harass any other Referrers, Referee or any representatives of Bhanzu.
• Use of any affiliate website, affiliate network properties, automated systems, script, or macro to participate is strictly prohibited and will result in disqualification.
• Referrers may not enter with multiple or fake emails addresses or accounts, use fictitious identities or use any system, bot or other device or artifice to participate in the Program or receive a Referral Reward.
• Bhanzu reserves the right to disqualify Referrers from participating in the Program and revoke any Referral Reward from Referrers who engage in dishonest or abusive activities to earn rewards. This includes bulk-account registrations to obtain additional bonuses, usage of “phishing” websites containing referral links, posting referral links as advertisements on search engines, and any other activity in connection with unlawful, fraudulent, or harmful purposes.
• Bhanzu reserves the right to disqualify any Referrer and/or cancel any Referral Reward(s) if Bhanzu finds a Referrer to be tampering with the entry process or the operation of the Program or violating the Terms in any way.
• Any attempt to deliberately damage or undermine the legitimate operation of the program may be in violation of criminal and civil laws and will result in disqualification from participation in the Program. Should such an attempt be made, Bhanzu reserves the right to seek remedies and damages (including attorney fees) to the fullest extent of the law, including criminal prosecution.

Privacy

Referrers may participate in the Program made available by Bhanzu in order to refer their friends and family to Bhanzu as potential new Bhanzu customers. To do this, Referrers must necessarily submit personal information about themselves and their Friends, such as name and e-mail address information, to enable Bhanzu to send communications such persons on the Referrers’ behalf. The personal information will be collected, processed and used in accordance with Bhanzu’s Privacy Policy, which can be found at https://bhanzu.com/privacy-policy/. Referrers understand that, in addition to the initial communications to the Referre(s), Bhanzu may also use the personal information to send additional follow-up communications on behalf of the Referrers in order to encourage or remind such persons to complete a purchase. The personal information may also be used by Bhanzu to contact Referrers with regards to their participation in the Program and to send to Referrers additional communications from Bhanzu.

Referral Rewards

For each Qualified Referral, the Referrer may be entitled to receive a reward in the form of “credits” as detailed out here or elsewhere on the App and/or as communicated to the Referrer in writing (emails included) from time to time (“Referral Rewards”). These credits, and the duration for which they are offered, are as detailed out on the Parent App and/or as communicated to the Referrer in writing (emails permitted). The Referral Rewards shall be determined by Bhanzu at its sole discretion and the same may vary from time to time, unless otherwise specifically communicated to the Referrer in writing (emails included).

Referrer reward details:

• The Referrer will receive the Reward Credit for every Qualified Referral after the enrolment of the Referee
• The Referrer will be notified via push notification and email when they get eligible for the credits
• The Credits along with avenues to utilize the same will be reflected in the Referrals section of the Bhanzu Parent App
• Validity/Duration: Indefinite

Content Ownership and Use

• Bhanzu’s online platform, the App and the Program contain content that includes designs, text, graphics, images, video, information, logos, button icons, software, audio files, computer code, and other content (collectively, "Content"). All Content is the property of Bhanzu or its licensors and is protected under copyright, trademark, and other laws. The compilation (meaning the collection, arrangement, and assembly) of all Content on Bhanzu’s online platform or the Program is the exclusive property of Bhanzu and is protected by copyright, trademark, and other laws.
• Bhanzu authorizes the Referrer, subject to these terms, to access and use Bhanzu’s website, the App, the Program, and the Content solely for the Referrer’s personal, non-commercial use. This license is revocable at any time without notice and with or without cause. Unauthorized use of the Content may violate copyright, trademark, and applicable communications regulations and statutes and is strictly prohibited. The Referrer must preserve all copyright, trademarks, service marks, and other proprietary notices contained in the original Content on any copy the Referrer makes.
• The registered or unregistered logos, product and service names contained in Bhanzu’s website, the App, or the Program are trademarks of Bhanzu or its licensors (the "Marks"). Without Bhanzu’s prior written permission, and except as solely enabled by any link as provided by Bhanzu, the Referrer expressly agrees and undertakes not to display or use in any manner the Marks.

Indemnity & Limitation of Liability.

By participating in the Program, Referrers agree to:

• Be bound by the Terms, the decisions of Bhanzu and its designees, and the Privacy Policy of Bhanzu;
• Defend, indemnify, release and hold harmless Bhanzu, its parent companies, affiliates and subsidiaries, together with their respective employees, directors, officers, licensees, licensors, shareholders, attorneys and agents including, without limitation, their respective advertising and promotion entities and any person or entity associated with the production, operation or administration of the Program (collectively, the “Released Parties”), from any and all claims, actions, demands, damages, losses, liabilities, costs or expenses caused by, arising out of, in connection with, or related to Referrers’ participation in the Program (including, without limitation, any property loss, damage, personal injury or death caused to any person(s) and/or the awarding, receipt and/or use or misuse of the Program or any Referral Reward).
• Bhanzu disclaims any liability for (i) any claims, demands, and damages in disputes among Referrers or between Referrers and Referees; (ii) damage to any computer system resulting from participating in, or accessing or downloading information in connection with the Program, and reserves the right, in its sole discretion, to cancel, modify or suspend the Program should a virus, bug, computer problem, unauthorized intervention or other cause beyond Bhanzu’s control corrupt the administration, security or proper operation of the Program and/or (iii) any other injuries, losses or damages of any kind resulting from acceptance, possession or use of a Referral Reward, the App, the Bhanzu website, or from participation in the Program.

• Bhanzu shall not be liable to any Referrer for failure to supply any Referral Reward or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasigovernmental entity (whether or not the action(s), regulations(s), order(s) or request(s) prove(s) to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, tornado, tsunami, war (declared or undeclared), fire, flood, epidemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slowdown, civil disturbance, insurrection, riot, or any other similar or dissimilar cause beyond any of the released parties' control.
• REFERRERS AND REFERREES EXPRESSLY UNDERSTAND AND AGREE THAT BHANZU (INCLUDING ANY VENDORS AND SERVICE PROVIDERS ASSOCIATED WITH OR ASSISTING IN PROVIDING THE PROGRAM) SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF BHANZU WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE PROGRAM; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH, FROM, OR AS A RESULT OF THE PROGRAM; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OR THROUGH THE PROGRAM; OR (v) ANY OTHER MATTER RELATING TO THE PROGRAM.

• TO THE FULLEST EXTENT POSSIBLE BY LAW, BHANZU (INCLUDING ANY VENDORS AND SERVICE PROVIDERS) MAXIMUM LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM, REGARDLESS OF THE CAUSE OF ACTION (WHETHER IN CONTRACT, TORT, BREACH OF WARRANTY, OR OTHERWISE), SHALL NOT EXCEED INR 1,000/- (INDIAN NATIONAL RUPEE ONE THOUSAND ONLY).
• REFERRERS SHOULD USE THE PROGRAM AT THEIR OWN RISK.
• Bhanzu reserves the right to cancel or suspend the Program should Bhanzu determine, in its sole discretion, that the administration, security or fairness of the Program has been compromised in any way.

Disclaimer of Warranties

REFERRERS AND REFFEREES EXPRESSLY UNDERSTAND AND AGREE THAT: (A) YOUR USE OF THE PROGRAM AND APP IS AT YOUR SOLE RISK; THE PROGRAM AND APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND BHANZU EXPRESSLY DISCLAIMS ALL WARRANTIES, CONDITIONS AND TERMS (COLLECTIVELY, "PROMISES") OF ANY KIND, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR CUSTOM, INCLUDING, BUT NOT LIMITED TO, WARRANTIES AS TO PRODUCTS OR SERVICES OFFERED THROUGH THE USE OF THE APP OR PROGRAM, IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT; (B) BHANZU MAKES AND GIVES NO WARRANTY THAT (i) THE PROGRAM AND/OR APP WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE, (ii) THE RESULTS OBTAINED FROM THE USE OF THE PROGRAM WILL BE ACCURATE OR RELIABLE, (iii) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE PROGRAM WILL MEET YOUR EXPECTATIONS, AND (iv) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; AND (C) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PROGRAM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF ANY SUCH MATERIAL.

General Terms

• Bhanzu reserves the right to modify or cancel the Program in its entirety without prior notice. Similarly, Bhanzu reserves the right to modify, add or delete any of the terms under this Referral Terms at any point of time at its sole discretion without serving any prior intimation. Intimation of any change, modification, addition, deletion in the Referral Terms will be updated on this page or in the relevant section of the Parent App.
• Referral Rewards are non-transferable; non-endorsable; non-exchangeable for equivalent amount of money or anything of value. Bhanzu does not promise/promote to do the same.
• These Referral Terms and Terms constitute the entire agreement between the Referrer and Bhanzu concerning the Referrer’s use of the Program (“Agreement”).
• The failure of Bhanzu to exercise or enforce any right or provision of these Referral Terms and Terms shall not constitute a waiver of such right or provision.
• The validity, construction and performance of this Agreement shall be governed and construed in accordance with the laws of the Republic of India, without giving effect to any conflict of laws’ provisions thereof. The courts located in Hyderabad, Telangana shall, have sole and exclusive jurisdiction over any disputes arising under, or in any way connected with or related to the terms of this Agreement.
